These Terms of Use (“Terms”) govern access to and use of https://true-cycle.com and its associated pages, content, forms, and features (collectively, the “Site”). The Site is operated by NWCNE LLC, doing business as TrueCycle Recovery Systems (“TrueCycle,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Purpose of the Site

The Site provides general information about TrueCycle, Enterprise Recovery Systems™, EcoPath™, material recovery, product disposition, reverse logistics, program coordination, reporting capabilities, and related services.

Site content is provided for general informational and business-development purposes. It does not constitute a binding offer, proposal, service commitment, guarantee, professional opinion, or contract.

2. No Client or Contractual Relationship

Use of the Site, submission of a recovery assessment, or communication with TrueCycle does not create a client, fiduciary, partnership, agency, joint-venture, consulting, or other contractual relationship.

Any services provided by TrueCycle will be governed exclusively by a separately executed written agreement. If these Terms conflict with a signed agreement between TrueCycle and a client, the signed agreement will control with respect to the subject matter of that agreement.

TrueCycle may accept, decline, or request additional information concerning any inquiry in its discretion.

3. Service and Capability Information

Descriptions of services, capabilities, equipment, technology, integrations, recovery pathways, geographic reach, and planned markets are general and may change.

Actual availability depends on factors including:

  • The material stream
  • Volume and condition
  • Location
  • Timing
  • Required processing
  • Logistics
  • Qualified downstream availability
  • Regulatory requirements
  • Documentation requirements
  • Commercial terms
  • A mutually executed agreement

TrueCycle may coordinate certain services through qualified, licensed, or approved downstream providers when appropriate or required.

Nothing on the Site states or implies that TrueCycle directly transports, treats, processes, or disposes of regulated medical waste.

4. Planned Markets and Forward-Looking Information

The Site may identify planned expansion markets, anticipated timing, strategic objectives, proposed capabilities, or other forward-looking information.

Planned markets are not current operational hubs unless expressly identified as such. Dates and plans are estimates, are subject to change, and do not constitute promises, guarantees, or commitments to open a facility, provide service in a particular market, or meet a particular date.

5. EcoPath™ and Illustrative Information

Descriptions, images, dashboards, workflows, metrics, reports, and integrations associated with EcoPath™ may be illustrative.

Any sample dashboard data or metrics identified as demo data are not actual client results, guarantees, or representations of performance. EcoPath configurations, fields, reports, integrations, and functionality may vary by program and contractual scope.

6. Permitted Use

Subject to these Terms, TrueCycle grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Site for lawful informational and legitimate business purposes.

You may download or print reasonable portions of publicly available Site content for your own internal, noncommercial evaluation, provided that you do not remove copyright, trademark, or proprietary notices.

7. Prohibited Conduct

You may not:

  • Use the Site for an unlawful, fraudulent, misleading, or harmful purpose
  • Attempt to gain unauthorized access to the Site, servers, systems, accounts, or data
  • Interfere with the operation, security, availability, or integrity of the Site
  • Introduce malware, malicious code, automated attacks, or harmful technology
  • Scrape, harvest, crawl, index, or extract Site content or data through unauthorized automated means
  • Impersonate another person or misrepresent your identity, authority, or affiliation
  • Submit false, misleading, confidential, proprietary, regulated, or unlawfully obtained information
  • Submit patient information, protected health information, medical records, Social Security numbers, financial-account credentials, or other highly sensitive personal information
  • Copy, reproduce, modify, distribute, publish, display, license, sell, or commercially exploit Site content without authorization
  • Reverse engineer or attempt to derive source code from Site features
  • Use TrueCycle’s name, logo, trademarks, materials, or content in a manner that implies sponsorship, endorsement, or affiliation
  • Use the Site in a manner that violates the rights of TrueCycle or any third party

TrueCycle may restrict or terminate access for conduct that violates these Terms or threatens the Site or others.

8. Intellectual Property

The Site and its content—including text, graphics, logos, visual systems, photographs, videos, interfaces, processes, designs, software, downloads, and other materials—are owned by or licensed to TrueCycle and are protected by intellectual-property laws.

TrueCycle, TrueCycle Recovery Systems, EcoPath™, Enterprise Recovery Systems™, associated logos, and related names, designs, and branding are trademarks or proprietary identifiers of TrueCycle or their respective owners.

No license or ownership interest is granted except for the limited right to use the Site expressly stated in these Terms.

9. Information You Submit

You represent that information submitted through the Site is accurate, lawful, and provided by someone authorized to submit it.

You retain ownership of information you submit. You grant TrueCycle a nonexclusive right to use, reproduce, transmit, store, and evaluate the information as reasonably necessary to:

  • Respond to the inquiry
  • Evaluate requested services
  • Communicate regarding a prospective or existing business matter
  • Protect Site security
  • Comply with law
  • Exercise or defend legal rights

Submission of information is also governed by the Privacy Policy.

Do not submit confidential business information unless you are authorized to do so and understand that submission through the Site does not create a confidentiality obligation. Confidentiality obligations arise only through an applicable written agreement executed by TrueCycle.

10. Third-Party Websites and Services

The Site may contain links to or integrations with third-party websites, technology, platforms, or services.

TrueCycle does not control and is not responsible for third-party content, availability, security, privacy, representations, or practices. A link does not imply endorsement, sponsorship, or affiliation.

Use of third-party services is governed by the third party’s own terms and policies.

11. Accuracy and Availability

TrueCycle seeks to provide useful and accurate information but does not warrant that Site content is complete, current, accurate, error-free, or suitable for a particular purpose.

TrueCycle may modify, suspend, restrict, or discontinue any portion of the Site without notice. The Site may occasionally be unavailable due to maintenance, technical issues, security events, or circumstances outside TrueCycle’s control.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, FEATURES, AND INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TRUECYCLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RESULTS.

TRUECYCLE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUECYCLE AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, REPRESENTATIVES, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND BUSINESS PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OPPORTUNITY, OR GOODWILL; BUSINESS INTERRUPTION; OR COST OF SUBSTITUTE SERVICES ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUECYCLE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, the exclusions and limitations apply only to the maximum extent permitted by law.

14. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless TrueCycle and its members, managers, officers, employees, representatives, affiliates, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:

  • Your unlawful or unauthorized use of the Site
  • Your violation of these Terms
  • Information or materials you submit
  • Your violation of another person’s rights
  • Fraudulent, abusive, or harmful conduct associated with your use of the Site

15. Governing Law and Venue

These Terms and any dispute arising from or relating to the Site will be governed by the laws of the State of Iowa, without regard to conflict-of-law principles.

Subject to applicable law, any legal action arising from or relating to the Site or these Terms must be brought exclusively in the state or federal courts having jurisdiction in or over Pottawattamie County, Iowa. You consent to the personal jurisdiction and venue of those courts.

16. Changes to These Terms

TrueCycle may revise these Terms periodically. Revised Terms become effective when posted unless another effective date is stated.

The “Last Updated” date will identify the most recent revision. Continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted or severed, and the remaining provisions will remain in effect.

18. No Waiver

A failure or delay by TrueCycle in enforcing any provision of these Terms does not waive its right to enforce that provision or any other provision later.

19. Assignment

You may not assign or transfer your rights or obligations under these Terms without TrueCycle’s written consent.

TrueCycle may assign or transfer its rights and obligations in connection with a merger, acquisition, reorganization, sale of assets, corporate restructuring, or operation of law.

20. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and TrueCycle concerning use of the Site, except where a separate written agreement applies.
